Legal information of the Chamber

The Spain-US Chamber of Commerce in Miami (hereinafter “the Chamber”) is an American non-profit entity. The chamber meets the requirements for being a Chamber of Commerce in both Spain and the United States.

User Acceptance

This document (hereinafter referred to as “Legal Notice”) has the purpose to regulate the use of the different websites owned by the Chamber, under different domain names and that will be redirected to this Legal Notice

Any person accessing this website and using their services or providing their data, assumes the role of user commitment to the observance and enforcement of the provisions contained herein, and any other applicable legal provision.

Acceptance of this document means that the user:
a) Read and understood this legal notice.
b) Assumes and accepts all obligations defined.
This Legal Notice will be valid for an indefinite period or, in any case, shall be valid until changed.

The provider reserves the right to modify any information that could appear on the website, without there being any forewarning or report, users of such modifications, will be considered on notice by, but not only, modifying it on the website of the lender.

Correct use of Web

The user agrees to use the Web, content and services in accordance with the law, this Legal Notice, good customs and public order. The user undertakes not to misuse information, messages, graphics, pictures, sound files and/or images, photographs, recordings, software and generally any kind of material accessible through the website or services offered.

It is not allowed, except in cases where the Chamber expressly authorizes, to establish links from portals or third party websites, web pages of the Chamber, other than the home page of its website, accessible at the URL https://spainuschamber.com; http://spainuschamber.org; http://spainuschamberofcommerce.com; http://spain-uschamber.com; http://spainchamber.org, or to replace it in the future; It is also not allowed to present the website of the Chamber or the information they contain under frames, distinctive signs, brands or corporate or trade names of another person, company or entity.

Intellectual property

This website and all its contents, including texts, documents, photographs, drawings, graphics, databases, computer programs as well as logos, trademarks, trade names and service marks are the property of the Chamber or third parties who have authorized for use.

The website, including, but without limitation, programming, editing, compilation and other elements necessary for its operation, designs, logos, photos, text and/or graphics are the property of the Chamber or, where appropriate, It has a license or authorization by the authors. All website contents are duly protected by the rules of intellectual property and/or industrial.

Regardless of the purpose for which they were intended such content, total or partial reproduction, use, exploitation, distribution and commercialization requires in any event, prior written authorization from the Chamber. Any use not previously authorized by the Chamber, will be considered a serious breach of the rights of intellectual property of the author and the right to privacy and self-image of people that may appear.

Designs, logos, text, photos and/or graphics, outside the Chamber and that may appear on the website belong to their respective owners themselves responsible for any dispute that may arise in this regard. In any case, the Chamber has the express prior authorization from the authors for publication.

The user and/or visitor of the website undertakes to respect these rights and therefore not to copy, reproduce, modify, distribute, transmit, publish, display or represent any of its contents without having been previously authorized, so expressly and in writing by the Chamber. Liability regime

a) The Chamber is exempt of any liability for the information posted on its website, provided that this information has been manipulated or introduced by a party external to it.

b) The Chamber cannot guarantee that the use made of the website and its services, is under the law, these general conditions, morality and public order; however, it adopts the measures, at all times that consider appropriate, to comply with the legislation.

c) The Chamber is not liable for damages of any nature that may result from improper, illegal or illicit use made of the website or the content offered.

d) The Chamber reserves the right to prevent the user, access and use services of their web portals, at any time and without notice in the event of breach of this legal notice and in case of acts contrary to the law, morals, good manners generally accepted and public order.

e) The Chamber reserves the right to amend this legal notice at any time, respecting the rights acquired by users.

f) In any case, the Chamber will not be liable for moral damages, loss and/or any direct or indirect damage that may suffer profit.

g) From the website you may be redirected to third party content. Since the chamber cannot always control the content posted by third parties, on their website, it does not assume any responsibility for such content. In any case, proceed to the immediate removal of any link that could violate national or international law, morality or public order, proceeding to the immediate withdrawal of the redirect to the website, informing the competent authorities of the content question.

h) This site has been reviewed and tested to work properly. In principle, it can ensure proper operation 365 days a year, 24 hours a day. However, you cannot rule out the possibility that there may be circumstances, as may be bugs that interrupts the service, to perform maintenance or recurrence of events beyond their control, as may be force majeure, natural disasters, acts of hackers or crackers, strikes or similar circumstances that make it impossible to access the website.

Data Protection

In accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 ( “GDPR”) and its implementing regulations, the Chamber reports on the processing of personal data carried out both in the website, and in the different areas of its activity.

APPLICABLE LAW AND JURISDICTION

Any dispute arising out of or relating to this contract, including any matter regarding its existence, validity interpretation, compliance or termination, shall be definitively settled by arbitration administered by the Court of Arbitration of the Official Chamber of Commerce, Industry and Services of Madrid, in accordance with its Arbitration Rules in force at the time the request for arbitration is filed.

The arbitral tribunal appointed for such purpose will be formed by a sole arbitrator. The language to be used in the arbitration will be Spanish. The place of arbitration will be Madrid, Spain. The arbitral tribunal shall decide the matter in law.

In case this clause is not applicable, any dispute will be resolved by the courts and tribunals of Madrid, Spain for any controversy that may arise. In the event that the user is domiciled outside of Spain, the Chamber and the user submit to the courts and tribunals of the city of Madrid, Spain.

In case of a controversy between the English and the Spanish version of this document or any document related with the privacy policy and data collected by the Chamber, the Spanish version will be the predominant one.
